Formation route

Remote formation runs on scanned documents and electronic signatures; no notarised power of attorney is required. In-person means you travel to Bucharest, which some banks require in any case.

Banking

EMI accounts open remotely in days. A high-street Romanian bank account takes longer and requires an in-branch appointment, which we prepare for and attend with you.

Included services

Selecting any of these moves the engagement to the Standard tier, where all three are bundled. That is cheaper than adding them individually.

      Advanced by us and reimbursed at cost on the final invoice. No handling margin is applied. The exact tariff depends on the filing and is listed as a separate line on your quote.

      Not a cost: share capital

      A new SRL needs at least RON 500 of subscribed capital, roughly €96. It is deposited into the company's account and remains the company's money; it is working capital from day one, not a fee. Once net turnover passes RON 400,000 the capital has to be raised to RON 5,000, about €962.

      What the total does and does not include
      • All service fees exclude VAT. Where VAT applies it is added at 21%.
      • Tier selection follows the published pricing: Essential at €800, Standard at €1,100, Bespoke from €1,700. The Standard tier bundles the registered office for twelve months, VAT registration where applicable, and the first month of accounting setup.
      • The accounting line runs from month two, because the Standard tier already carries the first month. It starts at €75 a month and rises with transaction volume; the figure here is a floor, not a quote.
      • The registered office is included for twelve months in the Standard tier. From month thirteen it is €29 a month, which falls outside the first-year total shown above.
      • Bespoke engagements are scoped individually. The €1,700 figure is a floor, and the total shown is not a quote.
      • Excluded throughout: certified translations and apostilles (billed at translator cost plus a coordination fee), notarial fees where you ask us to act under a power of attorney, your own travel, and any capital you subscribe.

      Share capital

      The RON 1 company
      no longer exists.

      Between 2020 and the end of 2025 a societate cu răspundere limitată could be formed with a single leu of subscribed capital, and a great deal of guidance still says so. Law 239/2025, in force from 18 December 2025, set a floor of RON 500 for newly incorporated companies. Around €96. In practice nobody notices the change at formation.

      The provision that does matter arrives later. Once net annual turnover passes RON 400,000 — roughly €77,000 — the company must raise its capital to at least RON 5,000. Companies already above the turnover mark when the law took effect have until December 2027; a company that first crosses it afterwards has until the end of the following financial year. The obligation is permanent once triggered, and the capital cannot be reduced again if turnover falls back.

      Non-compliance is not a fine. The Trade Register, or any interested party, can petition the court to dissolve the company. It is a filing, it is inexpensive, and it is the sort of thing that gets missed by founders who set up an SRL remotely and never hear from anyone again.

      VAT registration

      Not everyone
      needs it on day one.

      Registration becomes compulsory once turnover passes RON 395,000, roughly €76,000, a threshold raised from RON 300,000 in September 2025. Below it, registration is optional. The standard rate is 21% since 1 August 2025, with a single reduced rate of 11% replacing the former 5% and 9% bands.

      Voluntary registration is usually right where your customers are VAT-registered businesses elsewhere in the EU, since it lets you reclaim input VAT and issue reverse-charge invoices cleanly. It is usually wrong where you sell to consumers below the threshold, because you have added 21% to your price and gained a monthly filing obligation for it. Separately, a company trading cross-border within the EU needs an EU VAT number in the VIES register, which is a distinct application from domestic registration and is refused more often than founders expect.
